Notice of Public Hearing Healthcare Facilities Revenue Bonds

NOTICE OF PUBLIC HEARING HEALTHCARE FACILITIES REVENUE BONDS Notice is hereby given that a Public Hearing will be held by the Board of County Commissioners (the "Commissioners") of Warren County, Ohio (the "County") on June 18, 2019 at 9:30 a.m. at the Commissioners' Meeting Room, 406 Justice Drive, Lebanon, Ohio 45036, to consider the proposed issuance by the County of healthcare facilities refunding revenue bonds (the "Bonds"), in an amount not to exceed $25,000,000. If the issuance of the Bonds is authorized, the proceeds of the Bonds, which are qualified 501(c)(3) bonds as defined in Section 145 of the Internal Revenue Code of 1986, as amended (the "Code"), will be made available (a) to refund the County's outstanding Healthcare Facilities Improvement Revenue Bonds, Series 2016B (Otterbein Homes Obligated Group) (the "2016B Bonds") in the approximate amount of $12,000,000, (b) to refund the County's outstanding Healthcare Facilities Revenue Bonds, Series 2017 (Otterbein Homes Obligated Group) (the "2017 Bonds") in the approximate amount of $13,000,000, and (c) pay costs of issuance of the Bonds. The proceeds of the 2016B Bonds were used to (a) finance the acquisition, construction, installation and equipping of certain "hospital facilities" as defined in Chapter 140 of the Ohio Revised Code ("Hospital Facilities"), including, without limitation, the rebuilding, repair, acquisition, construction, installation and equipping of a building which houses the campus beauty shop, a wood shop, bistro, large laundry area and other amenities, as well as three floors of apartments (forty-five units) above the common area, located at 580 N. State Route 741, Lebanon, Ohio 45036 and 585 N. State Route 741, Lebanon, Ohio 45036 (collectively, the "Lebanon campus"), the initial owner, operator or manager of which is Otterbein Homes, an Ohio not-for-profit corporation, (b) to finance capitalized interest on the 2016B Bonds, and (c) to pay costs of issuance associated with the issuance of the 2016B Bonds. The proceeds of the 2017 Bonds were used to (a) finance the cost of certain Hospital Facilities consisting of (i) the renovation and repurposing of the Campus Center Building, including the skilled nursing facility, located at the Lebanon campus, at the approximate cost of $13,000,000, the initial owner, operator or manager of which is Otterbein Homes, and (ii) the construction, equipping and installation of sixteen independent living patio homes, to be located at 11230 State Route 364, St. Mary's, Ohio 45885, at an approximate cost of $3,500,000, the initial owner, operator or manager of which will be Otterbein St. Mary's LLC or an affiliate of Otterbein Homes, (b) to finance capitalized interest on the 2017 Bonds, and (c) to pay costs of issuance associated with the issuance of the 2017 Bonds. The Bonds will not represent or constitute a debt or pledge of the faith and credit or the taxing power of the County of Warren, Ohio, the State of Ohio or any political subdivision of the State of Ohio. Interested persons are invited to attend this public hearing and will be given the opportunity to express their views concerning the proposed issuance of the Bonds.
